Welcome to ComplyX, a compliance platform operated by Odento Infolabs Pvt Ltd ("Company", "we", "us", or "our"). ComplyX is a product of Odento Infolabs Pvt Ltd. By accessing or using our website, mobile applications, or any of our services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, browsing the platform, or using any feature of ComplyX, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Refund & Cancellation Policy, and Shipping & Delivery Policy. These Terms constitute a legally binding agreement between you ("User", "you") and Odento Infolabs Pvt Ltd.

If you are using the Service on behalf of a firm, company, or organization, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" refers to both you and the entity you represent.

2. Description of Service

ComplyX is a compliance platform designed for Chartered Accountants, Company Secretaries, accountants, and organizations. The Service includes the following features:

• Compliance Calendar — An auto-generated filing schedule that tracks statutory due dates for GST, TDS, income tax, MCA, ROC, and other regulatory filings.
• Document Vault — Secure, encrypted storage for compliance documents, returns, notices, and client records, with optional Google Drive sync.
• Audit Trail — An immutable log of every action performed on the platform, ensuring accountability and traceability for all users.
• MCA / GST / TDS / IT Integrations — Direct integrations with the Ministry of Corporate Affairs (MCA), Goods and Services Tax Network (GSTN), TDS portals, and Income Tax Department systems for filing and data retrieval.
• Neurax AI — A compliance intelligence engine that provides insights, anomaly detection, predictive reminders, and document analysis powered by artificial intelligence.
• Professional Registry — A directory of Chartered Accountants, Company Secretaries, and accountants, enabling discovery and professional networking.
• Government Schemes — A matching engine that identifies relevant central and state government schemes, subsidies, and MSME benefits based on entity profile.
• Optional Google Drive Sync — Users may connect their own Google Drive account to mirror documents stored in the ComplyX vault. This integration is optional and requires explicit user consent.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account or any other security breach.
• You must be at least 18 years of age and, where applicable, hold a valid ICAI or ICSI membership to register as a professional on the platform.
• One user may not create accounts using false identities or impersonate another professional. Membership numbers are verified where applicable.
• We reserve the right to suspend or terminate accounts that provide false, misleading, or fraudulent information.

4. Free Platform Policy

ComplyX is committed to making compliance accessible. The core platform is free for everyone, including Chartered Accountants, Company Secretaries, accountants, and organizations. There are no subscription fees, no setup fees, and no per-user charges to access the core features of the platform.

The following features are available at no cost:

• Compliance calendar and due date tracking
• Document vault (standard storage)
• Audit trail
• MCA, GST, TDS, and Income Tax integrations
• Professional registry listing
• Government scheme matching

We charge only for the following optional, usage-based services:

• WhatsApp and Email Alert Credits — Purchased in packages to send automated compliance reminders and notifications to clients and team members via WhatsApp or email.
• Neurax AI Credits — Purchased in packages or as a monthly subscription to access AI-powered compliance intelligence, document analysis, and predictive insights.

5. Pricing and Payment

As the core platform is free, charges apply only to optional credit-based services:

• Alert Credit Packages — WhatsApp and email alert credits are sold in predefined packages. Each sent alert consumes one credit. Pricing is published on our pricing page and may be updated from time to time.
• Neurax AI Credit Packages — AI credits are sold as one-time packages or monthly subscriptions. Each AI operation (document analysis, insight generation, anomaly detection) consumes a defined number of credits.
• No Platform Subscription Fees — There are no recurring subscription fees for accessing the core platform. You pay only for the credits you choose to purchase.

Payments are processed through secure third-party payment gateways. We do not store your card or banking details on our servers. All pricing is listed in Indian Rupees (INR) unless otherwise stated. Applicable taxes, including Goods and Services Tax (GST), will be added at checkout where required by law.

6. Intellectual Property

The Service, including its design, software, source code, user interface, trademarks, logos, content, and all related intellectual property, is owned by Odento Infolabs Pvt Ltd. ComplyX is a product of Odento Infolabs Pvt Ltd.

• You may not copy, reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.
• The "ComplyX", "Neurax", "Odento Infolabs", and related names and logos are trademarks of Odento Infolabs Pvt Ltd. You may not use these marks without our express written permission.
• Content you upload to the platform — including documents, client data, and notes — remains your intellectual property. You grant us a limited license to host, process, and display that content solely for the purpose of providing the Service.
• Aggregated, anonymized data derived from platform usage may be used by us for product improvement, analytics, and research, provided it does not identify any individual user or entity.

7. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy. Please review it at privacy.html.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities while using the Service:

• Uploading or storing content that is unlawful, fraudulent, defamatory, obscene, or infringes the intellectual property or privacy rights of others.
• Using the Service to facilitate tax evasion, money laundering, or any other illegal financial activity.
• Attempting to gain unauthorized access to any part of the Service, other accounts, or the systems or networks on which the Service is hosted.
• Introducing viruses, malware, or any other malicious code into the Service.
• Scraping, crawling, or automated extraction of data from the Service without our written consent.
• Sharing, selling, or transferring your account credentials to third parties.
• Using the Service to send unsolicited commercial communications or spam.
• Reverse engineering, decompiling, or disassembling any part of the Service.
• Misrepresenting your professional qualifications, ICAI or ICSI membership, or affiliation with any entity.

Violation of these prohibitions may result in immediate suspension or termination of your account and may expose you to legal liability.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Odento Infolabs Pvt Ltd and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of or inability to use the Service.

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or secure, or that compliance reminders will prevent all statutory penalties.
• You are solely responsible for the accuracy of filings, the timeliness of submissions, and the compliance status of your clients. ComplyX is a tool to assist you, not a substitute for professional judgment.
• Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you have paid us in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Odento Infolabs Pvt Ltd and its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service or your violation of these Terms.
• Your violation of any law or the rights of any third party.
• Any content you upload, store, or transmit through the Service.
• Any inaccurate or misleading information you provide, including false professional credentials.

11. Termination

You may terminate your account at any time by contacting us at support@complyx.co.in. Upon termination, your access to the Service will be disabled, and your data will be handled in accordance with our Privacy Policy and data retention schedule.

We may suspend or terminate your account at any time, without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to the Service or other users. Upon termination, any unused credits in your account may be forfeited if the termination is due to a violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating litigation, the parties agree to attempt in good faith to resolve any dispute through informal negotiation. If the dispute cannot be resolved within thirty (30) days, either party may initiate legal proceedings.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. We will notify users of material changes via email or an in-platform notification where practicable.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
